1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and AskRx LLC ("AskRx," "we," "us," or "our"), a Wyoming limited liability company with its principal office at 1621 Central Ave, Cheyenne, WY 82001.

By accessing or using our website at ask-rx.com (the "Site"), creating an account, or using any of our services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use our services.

We may update these Terms from time to time. Your continued use of our services after any changes constitutes acceptance of the revised Terms. We will notify you of material changes by posting a notice on our Site or by email.

2. Description of Services

AskRx is a telehealth platform that connects patients with licensed, board-certified physicians for consultations related to weight management and GLP-1 medications. Our services include:

• Initial and follow-up physician consultations via interactive messaging (and video in select states)
• Medical evaluation for eligibility for FDA-approved GLP-1 medications
• Personalized titration plans and dosage management
• Prescription management — prescriptions are sent directly to manufacturer pharmacies (NovoCare, LillyDirect) or licensed retail pharmacies
• Unlimited physician messaging for ongoing care

AskRx does not dispense, compound, sell, or ship medications. AskRx does not operate a pharmacy. Medications are prescribed at the sole discretion of the treating physician and are fulfilled by independent pharmacies. Medication costs are separate from the AskRx subscription and are paid directly to the dispensing pharmacy.

3. Eligibility

To use our services, you must:

• Be at least 18 years of age
• Be a resident of the United States
• Be capable of forming a binding contract
• Provide accurate and truthful information about your identity and health history
• Not be prohibited from using our services by applicable law

Our services are not available to individuals under 18. Medical eligibility for specific medications is determined by the treating physician during your consultation and is subject to clinical guidelines, your medical history, and applicable state laws.

4. Account Registration

To access our services, you must create an account and provide accurate, current, and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access to or use of your account
• Keeping your account information up to date

You may not share your account with others or allow others to access your account. We reserve the right to suspend or terminate your account if we suspect unauthorized use, fraudulent activity, or violation of these Terms.

5. Telehealth Services

Nature of Telehealth

AskRx facilitates telehealth consultations between you and licensed physicians. These consultations are conducted primarily via asynchronous messaging through our platform. Video consultations are available in select states based on regulatory requirements and clinical need.

Physician-Patient Relationship

A physician-patient relationship is established between you and the treating physician when the physician reviews your medical information and begins providing care through our platform. AskRx is the technology platform that facilitates this relationship but is not itself a healthcare provider.

No Guarantee of Prescription

Consultations do not guarantee that a prescription will be issued. Prescribing decisions are made solely by the treating physician based on their professional medical judgment, your medical history, clinical guidelines, and applicable laws. If a physician determines that you are not a suitable candidate for a particular medication, they will discuss alternative options with you.

Emergency Services

AskRx is not designed for medical emergencies. If you are experiencing a medical emergency, call 911 or go to your nearest emergency room immediately. Our platform is intended for non-urgent consultations related to weight management.

Limitations of Telehealth

You acknowledge that telehealth has inherent limitations compared to in-person medical visits. These include the inability to perform physical examinations and the potential for technology failures. Your physician may recommend in-person follow-up care when appropriate.

6. Prescriptions and Medications

FDA-Approved Medications Only

AskRx physicians exclusively prescribe FDA-approved brand-name medications, including Wegovy (semaglutide) and Zepbound (tirzepatide). We do not prescribe compounded medications.

Prescription Fulfillment

Prescriptions are sent directly to manufacturer pharmacies (NovoCare for Wegovy, LillyDirect for Zepbound) or to a licensed retail pharmacy of your choice. AskRx has no control over pharmacy operations, medication availability, shipping timelines, or pharmacy pricing.

Medication Costs

Medication costs are separate from your AskRx subscription and vary depending on your medication, dosage, pharmacy, and insurance coverage. Pricing information displayed on our Site is based on publicly available self-pay offers and may change without notice. Your physician can help you navigate available savings programs, manufacturer coupons, and insurance options.

Medication Safety

You are responsible for taking medications as prescribed by your physician. You must report any adverse effects, allergies, or concerns to your physician promptly. Do not modify your dosage or discontinue your medication without consulting your physician.

7. Payments, Billing, and Subscriptions

Subscription Plans

AskRx offers subscription plans for physician care services. Current plan options and pricing are displayed on our Site. By subscribing, you authorize us to charge your payment method the applicable subscription fee on a recurring basis according to your selected plan (monthly, quarterly, or semi-annually).

Payment Processing

All payments are processed through secure third-party payment processors. We do not store complete credit card numbers on our servers. You agree to provide accurate and current payment information and to promptly update your payment method if it changes or expires.

Price Changes

We reserve the right to change subscription pricing at any time. If we increase prices, we will provide you with at least 30 days' notice before the change takes effect. You may cancel your subscription before the new pricing applies.

Taxes

Subscription fees do not include applicable taxes. You are responsible for any sales tax, use tax, or other taxes imposed on your subscription, except for taxes based on AskRx's income.

8. Cancellation and Refunds

Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at support@ask-rx.com. Upon cancellation:

• Your subscription will remain active until the end of the current billing period
• You will continue to have access to physician messaging through the end of your paid period
• No further charges will be applied after cancellation takes effect
• Active prescriptions remain valid at the pharmacy regardless of subscription status

Refunds

Subscription fees are generally non-refundable. However, you may request a refund within 7 days of your initial subscription purchase if you have not yet had a physician consultation. Refund requests should be sent to support@ask-rx.com. Refunds are issued at our sole discretion.

Termination by AskRx

We reserve the right to suspend or terminate your account and access to our services at any time, with or without cause, including but not limited to violation of these Terms, fraudulent activity, or abusive behavior. If we terminate your account without cause, we will provide a pro-rata refund of any prepaid subscription fees.

9. User Conduct

When using our services, you agree not to:

• Provide false, misleading, or inaccurate information about your identity or medical history
• Use our services to obtain medications for purposes other than those prescribed
• Share, sell, or distribute medications obtained through our services
• Harass, threaten, or abuse AskRx staff or healthcare providers
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use automated systems (bots, scrapers) to access our Site or services
• Interfere with or disrupt the operation of our platform
• Use our services for any unlawful purpose

Violation of these conduct rules may result in immediate account termination without refund.

10. Intellectual Property

All content on our Site, including text, graphics, logos, images, software, and design elements, is owned by AskRx or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use our content without our prior written consent. "AskRx" and associated logos are trademarks of AskRx LLC.

Wegovy is a registered trademark of Novo Nordisk A/S. Zepbound is a registered trademark of Eli Lilly and Company. NovoCare is a registered trademark of Novo Nordisk A/S. LillyDirect is a registered trademark of Eli Lilly and Company. AskRx is not affiliated with or endorsed by Novo Nordisk or Eli Lilly.

11. Disclaimers

MEDICAL DISCLAIMER: The information provided on our Site is for general informational purposes only and does not constitute medical advice. Always consult with a qualified healthcare provider regarding any medical condition or treatment. Do not disregard professional medical advice or delay seeking it based on information from our Site.

SERVICE DISCLAIMER: Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or secure.

RESULTS DISCLAIMER: Individual results from weight loss medications vary. We do not guarantee specific weight loss outcomes. Medication effectiveness depends on individual factors including adherence to prescribed treatment, diet, exercise, and other health conditions.

THIRD-PARTY DISCLAIMER: AskRx is not responsible for the actions, products, or services of third parties, including pharmacies, manufacturers, or payment processors. Links to third-party websites are provided for convenience and do not imply endorsement.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ASKRX, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES YOU HAVE PAID TO ASKRX IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to indemnify, defend, and hold harmless AskRx, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of our services
• Your violation of these Terms
• Your violation of any rights of a third party
• Any information you provide to us that is false, inaccurate, or misleading
• Your misuse of any medication prescribed through our services

14. Governing Law and Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions.

Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or our services shall first be addressed through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against AskRx.

Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Effective Date" at the top of this page and provide notice through our Site or by email. Your continued use of our services after the revised Terms take effect constitutes acceptance of the changes.

If you do not agree with the revised Terms, you must stop using our services and cancel your subscription before the changes take effect.
